Terms of Service

Commentory (the "Service") is a service that uses AI to make YouTube and social media comment handling more efficient. These Terms set out the conditions of use, fees, external service integrations, and user responsibility for reviewing AI-generated replies.

1. Application

These Terms of Service (the "Terms") set forth the conditions for using Commentory (the "Service"). By using the Service, users are deemed to have agreed to these Terms.

2. Description of the Service

The Service is an AI SaaS that streamlines social media operations, centered on YouTube comment handling. It provides comment synchronization, AI reply generation, product information integration, reply memory, auto-replies, posting replies to YouTube, and response status management.

The features of the Service may be changed or temporarily suspended due to changes in external service specifications, review processes, failures, or usage restrictions.

3. Account Registration and Management

Users must register accounts using accurate and up-to-date information and manage login information, authentication information, and connected accounts at their own responsibility.

If unauthorized use of an account, use by a third party, or leakage of authentication information is suspected, the user must promptly contact us.

4. Paid Plans and Fees

The paid plans for the Service are: Creator Plan is JPY 1,480 per month, including tax; Pro Plan is JPY 2,980 per month, including tax. Stripe is used to manage payments, billing, payment methods, and subscription status.

Paid plans renew automatically on a monthly basis unless cancelled by the user. Except where required by law, we do not provide prorated refunds, mid-term refunds, or refunds for unused periods.

We may change fees, plan details, and free trial conditions by prior notice or by displaying the changes within the Service.

5. YouTube and External Service Integrations

The Service uses external services such as the YouTube Data API, AI processing services, Cloud server, Stripe, and hosting and log management providers. Users must comply with the terms of service, policies, and API restrictions of the connected services.

Users may disconnect their Google Account or YouTube channel at any time. If the integration is disconnected, features that require that integration, such as comment synchronization and reply posting, will no longer be available.

6. AI-Generated Content and Review Responsibility

Reply drafts, summaries, translations, risk assessments, and extracted product information generated by AI do not guarantee completeness, accuracy, legality, or fitness for a particular purpose.

Users are responsible for reviewing and editing reply drafts as necessary before posting them. When using auto-reply features, users are also responsible for configuring and managing target conditions, keywords, exclusion conditions, and reply content.

7. Product Information, Reply Memory, and Auto-Reply Rules

Users are responsible for confirming the accuracy, rights clearance, and handling of third-party information for product URLs, FAQs, notes, video associations, reply memory, and auto-reply rules registered in the Service.

Users must not register confidential information, unauthorized third-party information, or information whose input is prohibited by laws or contracts into the Service.

8. Prohibited Acts

Users must not engage in acts that violate laws or public order and morals, infringe third-party rights, post false or misleading replies, send spam, perform unauthorized access, reverse engineer the Service, impose excessive load, or violate the terms of external services.

9. Intellectual Property Rights

Software, screens, designs, logos, text, database structures, know-how, and other intellectual property rights related to the Service belong to us or to their rightful owners.

Rights to comments, product information, FAQs, reply text, and source data for reply memory entered by users into the Service remain with the users or their rightful owners. However, we may handle such data to the extent necessary to provide, maintain, and improve the Service and to prevent unauthorized use.

10. Data and Privacy

The handling of personal information and related data in the Service is governed by the Privacy Policy. By using the Service, users agree to the handling of data under that policy.

11. Changes and Suspension of the Service

We may change, add, interrupt, suspend, or terminate all or part of the Service due to feature improvements, maintenance, failure response, security response, changes in external service specifications, or business reasons.

12. Disclaimer

We do not guarantee that the Service will necessarily achieve the results, sales, engagement, reply quality, prevention of reputation issues, or display status on external services expected by users.

Except in cases of our intentional misconduct or gross negligence, we are not liable for damages caused by failures of external services, API restrictions, account suspensions, specification changes, errors in AI-generated content, or user configuration mistakes or insufficient review.

13. Damages and Limitation of Liability

If a user violates these Terms and causes damage to us or a third party, the user is responsible for compensating that damage.

Even where we are liable for damages to a user, our liability is limited to the amount of Service fees paid by that user to us in the most recent one-month period, except where such limitation is not permitted by law.

14. Cancellation

Users may cancel paid plans by the method specified by us. Even after cancellation, paid plan features may remain available until the end of the relevant billing period.

If a user wishes to delete an account, disconnect YouTube, or delete data, the user must make the request through the in-service settings or the contact point.

15. Changes to the Terms

We may change these Terms as necessary. If we make material changes, we will notify users by displaying the changes in the Service, by email, or by other appropriate means. If a user uses the Service after the changes, the user is deemed to have agreed to the amended Terms.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan. If a dispute arises in connection with the Service, the Japanese court with jurisdiction over our location will be the exclusive court of first instance.
